Statutes MEDCAN

Art. 1 Name and place
  • Under the name Medical Cannabis Association Switzerland (MEDCAN) there is an Association within the meaning of Art. 60 ff ZGB with its registered office in 8003 Zurich at Kalkbreitestrasse 6.
Art. 2 The purpose of the Association s
  • The purpose of the Association is to promote the medical use of cannabis.
  • The Association is primarily involved in advising patients and representing patients in politics, business and government bodies.
  • Through its activities, the Association aims to bring people who are dependent on treatment with cannabinoids for health reasons back to legality.
  • The Association supports the establishment, conception and operation of medical cannabis social clubs (patient self-help organizations).
  • The Association does not pursue any commercial purposes and does not seek profit.
  • The Association is politically and religiously neutral.
Article 3 Means

To pursue the Association purpose, the Association has the following means:

  • Member contributions
  • Donations and donations of all kinds
  • Income from events
Art. 4 Membership
  • Natural and legal persons who support the purpose of the Association can become members.
  • Active members with voting rights are natural persons who use the Association 's offerings and facilities.
  • People who have made a special contribution to the Association can be awarded honorary membership by the general meeting at the suggestion of the board.
  • Patron members with voting rights pay an annual fee that is at least equal to that of active members.
  • Applications for membership must be addressed to the board. Acceptance is decided upon by the board.
Art. 5 Termination of membership

Membership expires

  • for natural persons through resignation, exclusion or death.
  • in the case of legal entities, through withdrawal, exclusion or dissolution of the legal entity.
Art. 6 Withdrawal and exclusion
  • It is possible to leave the Association at any time. The full membership fee must be paid for the current year.
  • A member can be excluded from the board at any time for reasons.
  • If a member fails to pay the membership fee despite two reminders, he or she can be excluded from the Association by the board.
Art. 7 Bodies of Association s

The organs of the Association are:

  • The board
  • The general meeting
Art. 8 The general meeting
  • The general meeting is the highest body of the Association . It is normally convened by the board once a year in the first quarter.
  • The invitation is made in writing and must be sent to the members at least two weeks before the meeting; The postmark is decisive.
  • Requests for inclusion on the agenda for the general meeting must be submitted in writing to the board no later than 4 weeks before the general meeting.
  • The agenda and documents relating to the business to be discussed must be enclosed with the invitation.

The general meeting has the following powers:

  1. Approval of the minutes of the last general meeting
  2. Approval of the Annual Report of the Board of Directors
  3. Receipt of the financial report and approval of the annual financial statements
  4. Discharge of the board of directors
  5. Election of the president and the rest of the board
  6. Acknowledgment of the annual budget
  7. Acknowledgment of the activity program
  8. Resolution on proposals from the board and members
  9. Change of statutes
  • Every properly convened general meeting has a quorum regardless of the number of members present.
  • The members make decisions with the relative majority of the votes cast; abstentions and invalid votes are not counted. In the event of a tie, the chairperson has the casting vote.
  • At least a record of the resolutions must be kept.
Art. 9 The Board of Directors
  • The board consists of a minimum of 3 to a maximum of 7 people.
  • The board manages the day-to-day business of the Association and represents it externally. He prepares the business of the general meeting and submits it to it for possible resolution. Every year he submits an activity report and the annual financial statements to the general meeting for approval and provides information about the budgeted income and expenditure for the current year.
  • The Board of Directors has all powers that are not delegated to another body by law or in accordance with these Articles of Association.
  • The board consists of at least 3 voting members elected by the general meeting for a period of 4 years for the following departments:
  • Presidium, Vice Presidency, Finance, Actuarial Office
  • The board constitutes itself, with the exception of the presidium.
  • The board of directors generally works on a voluntary basis and is entitled to reimbursement of actual expenses.
  • The board meets as often as business requires. Any board member can request that a meeting be called, stating the reasons.
Art. 11 Signatory authority

The board regulates the signing authority for two people.

Art. 12 Liability

Only the Association 's assets are liable for the Association 's debts. Personal liability of members is excluded.

Art. 13 Dissolution of the Association s
  • The Association can be dissolved by resolution of an ordinary or extraordinary general meeting and dissolved with a majority of 51 percent of the members present.
  • If the Association is dissolved, the Association assets go to a tax-exempt organization that pursues the same or a similar purpose. The distribution of the Association assets among the members is excluded.
Art. 14 Entry into force

These statutes were adopted at the general meeting on April 14, 2018 and came into force on this date.
